ARTICLES OF INCORPORATION CHANGES

This bill makes it illegal to file business formation documents (like articles of incorporation for nonprofits, cooperatives, or clubs) that include a non-existent person's name or an unaffiliated person's address. If a filing lists a person who doesn't exist or isn't connected to the organization as an incorporator, director, or address, it is deemed invalid. The secretary of state must remove such invalid filings from records, and individuals who submit them face misdemeanor penalties. It applies specifically to New Mexico filings for nonprofits, cooperatives, and unincorporated associations.
